Referral Program

1. How the Program Works 

1.1. You are eligible to participate in Teya’s Referral Program if you receive an email from the Teya team containing your unique referral link. You can share this link with your network to invite them to provide their contact information to Teya, or you can use the link to input their contact information directly (subject to obtaining their prior consent).  

1.2. Once a name, email and phone number is inputted into the link and submitted to Teya, a lead is created. Teya will contact the merchant to offer them the chance to sign up as a Teya customer.  

2. A Completed Referral 

A customer becomes a “Completed Referral” once they are onboarded as a Teya customer and have transacted £500 within a period of 1 month of the date of onboarding.  

3. Rewards and Offers 

Should a referral become a Completed Referral, a £100 Amazon voucher (the “Prize”) will be gifted, via the Referral Factory platform, to both the new customer and the referrer. The Prize is not negotiable, non-exchangeable, non-transferable and no cash alternative is offered.  

4. Issuing of Rewards And Offers 

Prizes will be issued on the first Wednesday of every month. 

5. General  

5.1. These terms and conditions for Teya’s referral program (“Terms”) are published by Teya Solutions Limited (“Teya”, “we”, “us” and “our”). These Terms are displayed on our website and form a binding agreement for both referring merchants (“you” or “your(s)”) and those who receive our referral invitation. 

5.2. You may invite more than one contact to participate in the Referral Program(s). 

5.3. You may only add known acquaintances to this Referral Program and in each case only with the referred person’s consent. 

6. Completed Referrals and Limit 

6.1. Where we believe it is reasonable to do so, we may, in our sole discretion, put a limit on the number of Prizes a referring user may win.  

6.2. All Completed Referrals must be new and first-time users of Teya services. Existing or previous users cannot be considered Completed Referrals or benefit from the Referral Program. 

7. Restrictions 

7.1. You understand and agree that you must not use referral methods that are aggravating to the recipients. Moreover, your participation in the Referral Program must not violate the applicable law, including but not limited to anti-Spam legislation, which is mass distribution of unsolicited messages, or data protection legislation. 

7.2. You must not publish our Referral Program on any sites or platforms that house any Adult Content, Alcohol, Tobacco, Gambling, Games and Online Casinos, Political Content, and any form of illegal activities, nor may you refer anyone representing such industries or activities.  

7.3. You must not at any time, invite or refer people who are unknown to you. 

7.4. You must only use our Referral Program for personal use and refrain from its use for commercial purposes.  

8. Term and Termination 

8.1. We may, in our sole discretion, notify users that the Referral Program has ended with immediate effect. 

8.2. Any referral made before the end of the Referral Program can still participate and claim a Prize. However, we may in our sole discretion exclude referrals made after its termination date if we reasonably believe the referral has violated these terms. 

9. No Agency 

9.1. You understand and agree that you are only a user of our services and/or products, and refrain from implying any other affiliation or legal relationship with us, our affiliates, or Referral Factory.  

9.2. You understand and agree that you are never authorized to legally bind Teya, nor can you act as an agent or intermediary of Teya.  

9.3. You must never create any materials that contain our branding, trademark, (part of) our corporate identity. 

10. Privacy and Information 

10.1. All personal information collected and processed as part of this Referral Program will be used in accordance with Teya’s Privacy Notice, available here.  

10.2. You undertake to respect the privacy rights of the people you invite to our Referral Program and direct to our website and represent to Teya that each person you refer has provided their consent for such referral. If you are providing Teya with the contact information for your invitees, you represent that they are happy for you to provide their details to Teya for the purposes of contacting them for this Referral Program. 10.3. You represent all personal information is 100% correct and up to date. We may monitor your use of the Referral Program or request ID from you, and any Completed Referral, in order to verify identity before issuing rewards.  

11. Amendments 

We may amend these Terms at any time without notice. We may offer and/or restrict additional incentives, benefits and programs. As a result, additional terms may apply. You acknowledge and agree that these Terms may change in our discretion. 

12. Violations and Termination 

12.1. In case we suspect any violations of these terms or otherwise tampering with, fraud or unreasonable or illegal use of our Referral Program, we may, in our sole discretion, cancel the distribution of any discount, benefit or payout.  

12.2. If you are a current or former employee, contractor or affiliate of any Teya entity, we may restrict your participation in the Referral Program, and we may restrict or cancel your voucher with immediate effect.  

12.3. You must comply with all applicable laws and regulations, and refrain from violating any third-party rights. These rights include any copyright, trademark or other proprietary rights. 

13. Disclaimer and Indemnification 

13.1. We offer our Referral Program and its benefits only on an “as-is” and “as available” basis. We may remove, change and update the Referral Program in our sole discretion. We will never make any promises or guarantees about the content and information of our Referral Program. We disclaim our responsibility for any information that is incorrect or has errors.  

13.2. Our Referral Program is based on our best efforts. You acknowledge and agree that we can never guarantee any benefit or result from participating in the Referral Program. 

13.3. You will defend, indemnify and hold Teya and its affiliates harmless from and against all claims, damages, liabilities, losses, expenses and costs (including reasonable attorneys’ fees) arising out of your participation in the Referral Program or breach of these Terms. 

14. No Correspondence, Disputes and Refunds 

With regards to the distribution of discounts, vouchers, incentives, prizes, awards or other benefits, no correspondence will be entered into. Moreover, we shall never respond to any complaint or accept any dispute about the Referral Program, and the abovementioned benefits are provided “as-is”. W– never refund or exchange such benefits.  

15. Applicable Law 

These Terms and any disputes that may arise in connection with the Terms are governed by the laws of England and Wales.
