Welcome to Teya Tap, part of Teya’s range of payment solutions. This specialised software turns your mobile device into a point-of-sale terminal, enabling secure and effortless card payment Transactions (“Teya Tap”). Designed to meet the needs of both small business owners and larger corporations, Teya Tap offers a reliable way to accept card payments without requiring additional hardware. The terms and conditions set out here (the “Teya Tap Terms”) govern your use of Teya Tap so please read them over carefully.

When you access the Teya Tap, you also agree to the Teya General Terms and Data Processing Addendum, which are incorporated into these Teya Tap Terms by reference, including any amendments made to those from time to time.

To the extent that any provisions of these Teya Tap Terms conflict with the General Terms, the relevant provisions of these Teya Tap Terms shall prevail.  If you have any questions or if you do not understand any of the terms in these Teya Tap Terms, please contact us. 1. Definitions

Activated Device” means any Eligible SoftPOS Device that Teya has authorised to let you accept payments and manage Transactions through Teya Tap;

Eligible SoftPOS Device” means a mobile phone or tablet that operates on a version of an operating system compatible with Teya Tap;

Manipulate” means developing, designing, manufacturing, commissioning, using, practicing, licensing, sublicensing (across multiple levels), selling, offering for sale, importing, exporting, copying, modifying, creating derivative works from, displaying, performing, transmitting, distributing, making available or accessible, disposing of, and any other means of manipulation;

Teya” means Teya Solutions Ltd. (company number: 13886878), registered at Third Floor, 20 Old Bailey, London, United Kingdom, EC4M 7AN.

Restricted Transaction” means the act of executing a Transaction that (without limitation): a) breaches any Applicable Law; b) involves illegal or non-medically prescribed controlled substances, products posing consumer safety hazards, or items meant for unlawful activities, including counterfeit or stolen goods; c) endorses hate, violence, or intolerance due to race, age, gender, gender identity, ethnicity, religion, or sexual orientation; d) constitutes fraudulent activity; e) infringes upon or violates the intellectual property, publicity, or privacy rights of another; and/or f) portrays Teya or its Services in an inaccurate or unflattering light.

2. Requirements for Accessing Teya Tap and Hardware Specifications

2.1 To use Teya tap, you need to download the application on your Activated Device from the applicable app store. Make sure your Activated Device satisfies the following criteria:

(a) it adheres to the operating system specifications listed on the relevant app store, as updated from time to time;

(b) its components are current with the manufacturer's guidelines, free of malicious code, viruses, or any software that might hinder the Teya Tap's automatic security measures (such as antivirus programs or remote device management tools);

(c) no modifications have been made to the manufacturer's security constraints; and

(d) it adheres to internationally recognised safety standards.

2.2 Please note that the access requirements for Teya Tap may change without prior notification, such as due to technological advancements. Such changes might render your Activated Device incompatible with Teya Tap. In such instances, Teya bears no liability for any inconvenience or disruption that might result.

2.3 Once you have successfully downloaded and installed Teya Tap on your Activated Device, you need to log in with your Teya Account credentials. If you don't have a Teya Account, you can create one following the guidelines provided in the Teya General Terms.

3. Teya Tap & Payment Services

3.1 Teya Tap is specifically designed and intended for payment services between you and Teya. As such, you must maintain an agreement with Teya under the Payment Services Terms for the duration of these Teya Tap Terms. Should your arrangement with Teya under the Payment Services Terms be terminated, these Teya Tap Terms will be considered terminated by default, unless we specifically state otherwise.

3.2 The Payment Services Terms regulate the payment services related to your use of Teya Tap, unless stated otherwise in these Teya Tap Terms. Utilising Teya Tap in connection with payment services provided by any third party other than Teya, without Teya's prior written consent, is expressly prohibited.

3.2 You are permitted to use Teya Tap exclusively for Transactions that adhere to bona fide, lawful, and commercial intentions, excluding any personal, family, or household endeavours. Any authorisation of Teya Tap use to third parties without Teya's prior written approval is explicitly forbidden and will be considered a violation of these Teya Tap Terms.

4. Obligations & Restrictions on Use

4.1 The use of Teya Tap is confined to your country of registration. Further, its availability may be restricted to certain languages, regions, and features, possibly varying across different areas and Networks. Teya does not guarantee that Teya Tap will be suitable, accurate, or available for use in every location or product.

4.2 Further, you agree to adhere to the following:

(a) refrain from Manipulating Teya Tap for unauthorised purposes, such as overloading network capacity or misusing data provided by Teya Tap;

(b) avoid using Teya Tap for Restricted Transactions or any illegal or fraudulent activities. Engaging in a Restricted Transaction may result in the suspension of your access, termination of these Teya Tap Terms, and/or the Teya Payment Services Terms;

(c) not interfere with or disrupt Teya Tap or any servers or networks connected to it;

(d) not to discourage Customers from conducting Transactions, or create any disadvantage for Transactions through Teya Tap compared to other payment methods; and

(e) access Teya Tap solely through the relevant mobile application and exclusively on Activated Devices, in accordance with these Teya Tap Terms.

5. Fees

5.1 You agree to pay the Fees for the use of Teya Tap according to the following: (a) the fee schedule found on our website; (b) the Fees outlined in a Notice, like in your welcome email, which may be amended from time to time; and/or (c) any agreement made between you and Teya, all of which are incorporated into these Teya Tap Terms by reference.

5.2 The Fees for Teya Tap are generally collected from your Settlement, as detailed in the Teya General Terms. However, we reserve the right to change billing methods at our discretion at any time.

6. Security

6.1 Should you provide your Activated Device passcode to a third party or allow them to enable any biometric access features, they may gain the ability to conduct Transactions using Teya Tap on your Activated Device. The security of your Activated Device, passcode and other relevant access features, is solely your responsibility.

6.2 In the event that your Activated Device is lost or stolen, you must endeavour to minimise the risk of unauthorised access. You can do this by contacting us directly for support or by utilising any means available via your Activated Device's access controls.

6.3 To access specific features of Teya Tap, you may be required to enable additional security measures. If you later disable these security measures, you may lose access to those particular features.

6.4 You agree that Teya bears no responsibility if you lose or share access to your Activated Device, or if you make unauthorised modifications, such as disabling hardware or software controls. Using a modified Activated Device with Teya Tap is expressly forbidden and constitutes a breach of these Teya Tap Terms.

7. General

7.1 If you provide any feedback, comments or suggestions in relation to us, Teya Tap or our Services in general, we may use that feedback, comments and suggestions and incorporate it into our products and services without any obligations to you. 

7.2 For the avoidance of doubt, provisions around general terms not covered in these Teya Tap Terms, including but not limited to term and termination, restrictions and unauthorised or illegal use, intellectual property, data, amendments, indemnification, limitation of liability, warranties, severability, force majeure, and disputes, shall be governed by the Teya General Terms.
